OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE, TRANSACTION, OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. A PURCHASE, TRANSACTION, OR PAYMENT OF ANY KIND IS NOT NECESSARY TO ENTER THE SWEEPSTAKES.

PARTICIPATING IN THE ICEBREAKER CRYPTO CUP SWEEPSTAKES (THE “SWEEPSTAKES” OR “PROMOTION”) CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES. BY PARTICIPATING IN THE SWEEPSTAKES, YOU REPRESENT AND WARRANT YOU MEET THE ELIGIBILITY REQUIREMENTS STATED IN THESE OFFICIAL RULES AND ACKNOWLEDGE THAT FAILURE TO MEET ALL ELIGIBILITY REQUIREMENTS WILL RESULT IN YOUR DISQUALIFICATION. A COPY OF THESE OFFICIAL RULES WILL BE AVAILABLE ON A PUBLIC ICEBREAKER-HOSTED SITE FOR THE DURATION OF THE SWEEPSTAKES.

PLEASE BE AWARE THAT THESE OFFICIAL RULES CONTAIN A DISPUTE RESOLUTION PROVISION GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND ICEBREAKER LABS, INC. (THE “SPONSOR”). THIS PROVISION CAN BE FOUND IN SECTION 14 BELOW. PLEASE READ THIS PROVISION CAREFULLY.

PARTICIPATION AND ANY SUBSEQUENT PRIZE FULFILLMENT MAY BE LIMITED BY LAW (SEE SECTION 2 “PARTICIPANT ELIGIBILITY”). VOID WHERE PROHIBITED BY LAW. THIS PROMOTION SHALL BE CONSTRUED ACCORDING TO AND GOVERNED EXCLUSIVELY BY U.S. LAW.

Promotion Period: The Promotion begins on February 23, 2024 at 12:00 AM Mountain Time (“MST”), and ends on March 3, 2024 at 11:59 PM MST (the “Promotion Period”). The Promotion will run through the entirety of the Promotion Period, as determined by the Sponsor’s computer systems and services, or those of their designee as the official time-keeping device for the Promotion. Sponsor’s computer systems or that of their designee is the official time-keeping device for the Promotion.
Participant Eligibility
1. Participation in this Promotion is only open to legal residents of the 50 United States (excluding Hawaii) and the District of Columbia who are at least eighteen (18) years of age or older (the “Eligibility Requirements”). This Sweepstakes is void for any users that do not meet the Eligibility Requirements, or where prohibited or restricted by law. Participants that meet the Eligibility Requirements (an eligible “Participant”) may still not be eligible for full prize participation due to legal, regulatory, or other restrictions. Prize fulfillment is subject to availability, a Participant’s eligibility, and all applicable United States laws and regulations. In the event that a prize (either in part or in whole) is not available or its fulfillment is not legal, the Sweepstakes organizers reserve the right to offer an alternative prize that is compliant with local laws and regulations. Participants are solely responsible for ensuring their participation complies with all the local laws and regulations in their respective jurisdictions. The Sweepstakes organizers disclaim any liability for non-compliance by Participants. By entering this Sweepstakes, Participants agree to be bound by these terms and conditions and represent that they are eligible to participate in accordance with the eligibility criteria set forth herein.
2. Icebreaker Labs, Inc. (the “Sponsor”), their parent, affiliates, subsidiaries, promotion agencies and each of their respective directors, officers, employees, and assigns (collectively “Released Parties”) and their immediate family members and/or those living in the same household of each (whether related or not) are not eligible. For purposes of this Promotion, the term “family member” is defined as spouse, partner, parent, legal guardian, in-law, grandparent, child, or grandchild and their spouses (as applicable).
3. In no event will eligible Participants by virtue of participation be considered a contractor or agent of, or members of a joint venture with, Icebreaker; likewise, nothing in these Official Rules will be construed to create a principal/agent, contractor, or joint venture relationship. Eligible Participants and Icebreaker are to be considered independent parties under all circumstances.
4. There is no purchase, transaction, or payment necessary to enter. You do not need to have an existing account with Icebreaker in order to enter the Promotion.
Sweepstakes Entry Rules: Method 1 (Completion of Crypto Cup Quests)
1. Participants are required to make an Icebreaker account in order to participate in the Sweepstakes. There is no fee or charge to create an account and become a registered Icebreaker user. Normal internet access and usage charges imposed by each Participant’s mobile service provider may apply. By submitting your information and creating an account, you agree to the Icebreaker Terms of Service and Privacy Policy.
2. Participants will earn Points as they complete actions and verifications (“Quests”) on the Platform, including but not limited to, connecting with an Icebreaker partner (“Sweepstakes Partner”), or connecting with Participants with an ETHDenver 2024 attestation on their Icebreaker profile (“ETHDenver Attendee”). A list of Sweepstakes Partners will be available on a public Icebreaker-hosted site throughout the Promotion Period.
3. All Quests and their Points value will be listed on the “Crypto Cup 2024” Icebreaker profile.
4. When a Participant accumulates 1,000 points within the Promotion Period, the Participant becomes eligible to earn prize entries (a “Qualified Participant”). Qualified Participants can earn multiple entries by meeting various Points Thresholds. Each entry increases the chances of a Qualified Participant winning a prize via random drawings.
Sweepstakes Entry Rules: Method 2 (No Purchase Method of Entry):
1. To enter via mail, please legibly and clearly hand print the following information on a piece of paper: your name, address, city, state, zip code, e-mail address, and telephone number. Insert paper in an envelope and mail in, with sufficient postage, to: Icebreaker Labs, Inc., Attn: ETHDenver Crypto Cup Sweepstakes, 418 Broadway, STE N, Albany, NY 12207-2922. Mail-in entries must include all requested information herein to be considered an entry. Mail-in entries must be postmarked no later than the last day of the Promotion Period and received by Sponsor no later than seven days after the end of the Promotion Period. Mailed entries received without a verifiable or legible return address will be deemed incomplete and invalid. Requests for confirmation of receipt of mail-in entries will not be acknowledged. No photocopies, facsimiles or reproductions of mail-in entry will be accepted. Neither Sponsor nor Administrator are responsible for late, lost, damaged, stolen, incomplete, illegible, postage due, or misdirected entries. Proof of mailing does not constitute proof of delivery. Potential Winners that entered via mail will be required to: (i) create an Icebreaker account and agree to the respective user agreement and privacy notice; and (ii) complete the required ID verification process which may include uploading a valid and current photo ID and completing a set of identification verification questions. If a Potential Winner does not complete the above actions within the timeframe indicated by Sponsor in their notification email, said Potential Winner will be ineligible to receive a prize.
Sweepstakes Structure
1. Quests and Point Disbursement
  1. Receive an ETHDenver 2024 attestation: 1,000 points
  2. Connect with a Sweepstakes Partner: 500 points each
  3. Display a credential on your primary profile: 250 points
  4. Add a minimum of three (3) channels to your primary profile: 250 points
  5. Connect with another ETHDenver Attendee: 100 points each each
2. Points Thresholds
  1. 1,000 points = 1 entry
  2. 4,000 points = 2 entries
  3. 8,000 points = 3 entries
  4. 16,000 points = 4 entries
  5. 32,000 points = 5 entries
  6. 64,000 points = 6 entries
  7. 128,000 points = 7 entries
  8. 256,000 or more points = 8 entries
3. Participants acknowledge and agree that Points accumulated during the course of the Sweepstakes are not and shall not be considered as securities, digital tokens, financial instruments, or any other form of financial asset, and that Points are purely promotional in nature, issued solely for the purposes of participation in this Sweepstakes, and hold no monetary value. Points are non-transferable and non-redeemable. Participants are prohibited from selling, transferring, or exchanging Points for value, currency, or any other form of compensation or consideration. Upon the conclusion of the Sweepstakes or the Promotion Period, any and all Points shall cease to hold even the limited value or utility conferred within the context of the Sweepstakes.
Prizes
1. There will be a total of thirteen (13) Sweepstakes winners from the pool of Qualified Participants. The Winners will be randomly drawn. The random drawings will be conducted by the Sponsor at their offices in New York, NY. All decisions are final and binding. The odds of winning a prize depend upon the number of eligible entries earned by Qualified Participants throughout the Promotion Period.
2. The Payout Schedule will be determined by the total volume of Participants, as measured by the Sponsor at the end of the Promotion Period, as stated below.
  1. Ultra Tier
    1. If the total number of Participants equals or exceeds 10,000 at any point throughout the Promotion Period, then the Random Drawings will be from the Ultra Tier, as stated below:
      1. $500 Coinbase Gift Card (One Winner)
      2. $200 Coinbase Gift Card (Five Winners)
      3. $100 Coinbase Gift Card (Ten Winners)
  2. Base Tier
    1. If the total number of Participants is fewer than 10,000 at the end of the Promotion Period, then the Random Drawings will be from the Base Tier, as stated below:
      1. $250 Coinbase Gift Card (One Winner)
      2. $150 Coinbase Gift Card (Three Winners)
      3. $100 Coinbase Gift Card (Five Winners)
Potential Winner Notification
1. Potential Winners will be contacted via email, or by other means, including but not limited to, via one of a Participant’s listed contact channels on the Platform. Potential Winners will be contacted by the Sponsor with instructions on how to claim their prize and will be required to respond to such email within seven (7) days of the date and time the notification of potential winnings was sent by the Sponsor. Potential Winners will be required to complete and return an Affidavit of Eligibility, Release of Liability ,or any other document needed to validate eligibility (the “Documents”). In the event a Potential Winner cannot be contacted, fails to respond to the email within the allotted time, refuses the prize, fails or refuses to timely return completed Documents, or if a prize/prize notification is returned as undeliverable, Potential Winner will be disqualified without further notice and an alternate winner may be selected.
2. To claim a prize in this Sweepstakes, all Potential Winners must have an active Icebreaker account, which has been verified by Sponsor, at the time of awarding the prize as specified in these Official Rules.
3. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL THAT PARTICIPANT’S ELIGIBILITY AND COMPLIANCE WITH ALL REQUIREMENTS TO CLAIM A PRIZE HAVE BEEN VERIFIED AND FULFILLED, AND THE PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.
Prize Restrictions
1. Prizes will be fulfilled within approximately six-to-eight (6-8) weeks of winner verification. Sponsor assumes no responsibility for undeliverable emails resulting from any errors or for insufficient space in the user's account to receive an email. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate winner. If a prize is legitimately claimed, it will be awarded. Upon prize forfeiture or inability to use a portion of the prize thereof, no compensation will be given, and Sponsor will have no further obligation to that Participant.
2. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right, where lawful, to substitute a prize if the designated prize should become unavailable for any reason. Prizes consist of only the items specifically listed as part of the prize. In no event will more than the stated number of prizes be awarded. Prize details not specifically stated in these Official Rules will be determined in Sponsor’s sole discretion. Sponsor is not responsible for, and will not replace, any lost, damaged, or stolen prize or prize component or any prize that is undeliverable. Winners acknowledge that Sponsor is subject to U.S. economic restrictions and trade sanctions; as such, Sponsor reserves the right to deny distribution of any prize when required by applicable law. Participants waive the right to assert as a cost of winning a prize, any costs associated with claiming or seeking to claim a prize, or using a prize.
3. Entries received from any person who attempts to cancel and create a new account, or who attempts to create an additional account, during the Promotion Period will be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute over the identity of a Potential Winner, the entry will be declared made by the authorized account holder of the email address associated with the Participant’s Icebreaker account (or submitted with the mail-in entry, as applicable) (“Participant’s Email Address”), and a Potential Winner may be required to provide identification sufficient to show that he/she is the authorized account holder of the email account. The “authorized account holder” is the natural person assigned to the applicable email account.
Taxes: All federal, state, local, and other taxes on any prize are the sole responsibility of the prize winner. All prize winners are solely responsible for paying and reporting, as and when required by law, all income taxes and other taxes and expenses attributable to any prize, whether or not Icebreaker makes any withholding for taxes from the amount, and each winner authorizes Icebreaker to withhold from any prize any and all amounts to be withheld by applicable law and shall indemnify, defend, protect and hold harmless Icebreaker against all claims relating to such taxes and expenses. Each winner will be subject to an onboarding verification process and is required to provide any requested tax reporting information before any prize is awarded to include W-9, name, date of birth, address, phone numbers and social security number or taxpayer identification number (as applicable). The value of any prize awarded to a winner will be reported for tax purposes as required by law. Any person receiving prizes with a retail value greater than six hundred dollars ($600.00) from the Sponsor will receive an IRS Form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS. Each winner is required to notify the Sponsor if any information provided hereunder changes, including the winner's address.
Participant's Personal Information: Information collected from Participants is subject to Icebreaker’s Privacy Policy. Sponsor assures that your information will be kept confidential in accordance with applicable data protection laws and regulations. Data will be stored in the United States and may be shared with a third-party fulfillment company only to administer this Sweepstakes, verify winners, and fulfill prizes unless you have given your prior express consent to receive additional information from Sponsor or a third party.
Publicity; and License of Entries: By submitting an entry, you hereby grant Icebreaker and its licensees, successors and assigns a revocable, unlimited, royalty-free, fully paid-up license to reproduce, distribute, display, exhibit, exploit, perform, edit, create derivatives of, and otherwise use the entry and all elements of the entry, together with any other material you provide, in any media of any kind, in any manner, in whole or in part, worldwide, without compensation or notification to, or permission from you or any third party for marketing and advertising purposes, or for any other legitimate business purpose. If required by Icebreaker, you agree to sign documents to this effect prior to accepting a Prize from Icebreaker. Icebreaker has no obligation to make use of the rights granted in these Rules.
General: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor will not be responsible for lost, late, damaged, misdirected or mutilated mail, misdirected email, or for any technical problems, faulty, lost, garbled, incomplete, incorrect or mistranscribed data transmissions, incorrect announcements of any kind, malfunctions, technical hardware or software failures of any kind including any injury or damage to any person’s computer/mobile device related to or resulting from participating in or experiencing any materials in connection with this Sweepstakes. Sponsor is not responsible for malfunctions or breakdown of any network systems, unavailable service connections, lost, incomplete, faulty network connectivity of any kind, failures of any service providers, or any combination thereof, which may limit a person’s ability to participate in this Promotion. Sponsor reserves the right to suspend, cancel or modify the Promotion if it cannot be executed as planned for any reason including, but not limited to, if fraud, human error, technical failures, or any other factor impairs the integrity or proper functioning of the Promotion; or if a virus, bug or other technical problem corrupts the administration, security, or proper play of the Promotion as determined by Sponsor in its sole discretion. If the Promotion is so canceled or modified, Sponsor may award prizes from among all eligible Participants prior to such action and Sponsor shall have no further obligation to any Participant in connection with this Promotion. Sponsor reserves the right to prohibit the participation of an individual if fraud, tampering, or any other activity that could be considered to deliberately undermine the validity or integrity of the Sweepstakes is suspected. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control. Sponsor will not be responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prizes.
Release: To the extent permitted by law, Participants (including Winners) agree to release, discharge and hold harmless Released Parties from and against any claim or cause of action or liability (including but not limited to, personal injury, death or damage to or loss of property as well as claims based on publicity rights, defamation and/or invasion of privacy) arising out of or in connection with participation in the Sweepstakes or acceptance/receipt/use or misuse of any prize, and agree to be bound by the Official Rules and the decisions of the Sponsor, the Administrator and/or Sponsor’s representatives. Acceptance of a prize constitutes permission for the Sponsor and its agencies to use a Winner’s name, likeness, photograph and/or hometown and state for advertising and trade without further compensation, in any media, worldwide, unless prohibited by law.
Dispute Resolution Provision: By entering the Sweepstakes, you agree that (a) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or the Prize awarded, will be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards will be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, and in no event will Participant be entitled to receive attorneys' fees or other legal costs; and (c) under no circumstances will any Participant be permitted to obtain any award for, and Participant hereby waives all rights to claim punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of you and Icebreaker in connection with the Sweepstakes, will be governed by, and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of New York. Any legal proceedings arising out of this Sweepstakes or relating to these Rules will be instituted only in the federal or state courts located in the New York, NY and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Rules. The invalidity or unenforceability of any provision of these rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules will otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Icebreaker’s failure to enforce any term of these Official Rules will not constitute a waiver of related rights.
